By accessing or using Stride Capital ("Platform"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Platform. Stride Capital reserves the right to modify these terms at any time. Continued use after modifications constitutes acceptance of the updated terms.
Description of Service
Stride Capital is a technology platform that connects private lenders with real estate borrowers through algorithmic matchmaking, transactional coordination, and a verified network of professionals. Stride Capital facilitates connections and provides coordination tools but does not act as a lender, borrower, broker, or financial advisor. All lending and borrowing decisions are made solely by the users involved in each transaction.
Eligibility
You must be at least 18 years old and a legal resident of the United States to use Stride Capital. By registering, you represent that you meet these requirements and that all information you provide is accurate and complete. We reserve the right to verify your identity and credentials at any time.
Account Responsibilities
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate, current, and complete information during registration and to update your information as needed. You must notify us immediately of any unauthorized use of your account.
User Conduct
When using Stride Capital, you agree not to provide false or misleading information in your profile or deal listings, use the Platform for any unlawful purpose, attempt to circumvent or interfere with the Platform's security features, harass, abuse, or harm other users, use the Platform to facilitate fraudulent transactions, reverse engineer or attempt to extract source code from the Platform, or use automated systems to access the Platform without our permission.
Transactions and Disclaimers
Stride Capital facilitates connections between lenders and borrowers but is not a party to any transaction. We do not guarantee the performance, creditworthiness, or reliability of any user. All users are responsible for conducting their own due diligence before entering into any transaction.
Stride Capital does not provide legal, financial, tax, or investment advice. We recommend consulting with qualified professionals before making lending or borrowing decisions. The inclusion of professionals in our verified network does not constitute an endorsement or guarantee of their services.
Fees and Payments
Stride Capital may charge fees for certain services on the Platform. All applicable fees will be disclosed before you incur them. Fees are subject to change with notice. You are responsible for any taxes associated with your use of the Platform and any transactions facilitated through it.
Intellectual Property
All content, features, and functionality of Stride Capital, including the matching algorithm, are owned by Stride Capital and protected by intellectual property laws. Our technology is patent pending. You may not copy, modify, distribute, or create derivative works based on our Platform without our written consent.
Limitation of Liability
To the maximum extent permitted by law, Stride Capital shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform. This includes but is not limited to losses resulting from transactions facilitated through the Platform, reliance on information provided by other users, or interruptions to service. Our total liability for any claim arising from these terms shall not exceed the fees you have paid to Stride Capital in the twelve months preceding the claim.
Indemnification
You agree to indemnify and hold harmless Stride Capital, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Platform, your violation of these terms, or your violation of any rights of another party.
Termination
We may suspend or terminate your account at any time for violation of these terms or for any other reason at our discretion. Upon termination, your right to use the Platform ceases immediately. Provisions that by their nature should survive termination will remain in effect.
Governing Law
These Terms of Service are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes arising from these terms shall be resolved in the courts located in San Diego County, California.
